Hello Mitsu LLC provides virtual assistance, administrative support, operational support, consulting, and related business services (“Services”). The scope of Services is defined in individual client agreements, proposals, or invoices.

We reserve the right to modify or discontinue services at any time.

Hello Mitsu LLC operates as an independent contractor. Nothing in these Terms creates an employer-employee, partnership, or joint venture relationship between the Company and any client.

Clients are responsible for their own business decisions, compliance obligations, and tax filings.

 Clients agree to:

• Provide accurate and complete information
• Provide timely communication and approvals
• Maintain secure access credentials to any shared systems
• Review deliverables in a timely manner
• Ensure compliance with all applicable laws within their own business
   

Delays in communication or access may result in project delays.

Payment terms are outlined in individual client agreements or invoices.

Unless otherwise agreed:

• Invoices are due upon receipt.
• Late payments may incur fees.
• Services may be paused for non-payment.
• Fees are non-refundable once work has commenced.
   

Retainers, if applicable, must be paid in advance of service delivery.

 Services are limited to the scope outlined in written agreements. Work requested outside of the agreed scope may require a revised proposal and additional fees. 

We understand that we may receive confidential information while providing services. Hello Mitsu LLC agrees to maintain confidentiality of client information and not disclose it except as necessary to perform services or as required by law.

Clients are responsible for ensuring secure transmission of sensitive information (e.g., passwords, financial data, SSNs). Hello Mitsu LLC is not liable for security breaches caused by third-party platforms or client negligence.

All website content, branding, materials, and intellectual property owned by Hello Mitsu LLC remain our property.

Upon full payment, clients retain ownership of deliverables created specifically for them unless otherwise stated in writing.

We reserve the right to reference non-confidential work in our portfolio unless otherwise agreed.

We may use third-party software and platforms (e.g., accounting tools, project management tools, communication tools). Hello Mitsu LLC is not responsible for outages, errors, data breaches, or performance failures of third-party providers.

 To the maximum extent permitted by law:

• Hello Mitsu LLC shall not be liable for indirect, incidental, or consequential damages.
• Total liability shall not exceed the amount paid by the client for services in the preceding 3 months.
• We are not responsible for business losses, lost profits, or regulatory penalties resulting from client decisions.

 Either party may terminate services in writing. Upon termination:

• All outstanding invoices become immediately due.
• Access to shared systems may be revoked.
• Work completed up to termination date remains billable.

These Terms are governed by the laws of the State of Michigan, without regard to conflict of law principles.

We reserve the right to update these Terms at any time. Continued use of our Site or Services constitutes acceptance of updated Terms.
